Terms of Service
The terms that govern your use of the Palsent platform.
The service
Palsent is a B2B Workforce Intelligence Platform operated by JSID Web Solutions Inc. (Canada) that enables organizations to conduct anonymous employee pulse surveys, generate team health scores, receive AI-generated insights, and produce presentation-ready reports. The Service is intended for use by businesses only.
Eligibility
The Service is available to businesses and organizations only. By using Palsent, you represent that you are registering on behalf of a business entity and that you have the legal authority to bind that entity to these Terms.
Free trial
Palsent offers a 14-day free trial for new Customers. You must sign up for a product to start the free trial. A valid payment method is required to begin the trial. At the end of the trial period, you must select a paid subscription plan to continue using the Service. If you do not subscribe, access to the Service will be suspended.
Subscriptions and billing
- Plans
- Palsent offers monthly and annual subscription plans. Pricing details are listed on the Palsent website.
- Billing cycle
- Subscriptions are billed on a recurring basis — monthly or annually — based on the plan selected. Billing begins at the end of the free trial period. A valid payment method is required when starting the trial.
- Auto-renewal
- Subscriptions automatically renew at the end of each billing cycle. You authorize Palsent to charge your payment method on file for each renewal period unless you cancel before the renewal date.
- Payment processing
- All payments are processed by Stripe. By providing payment information, you authorize Stripe to charge the applicable subscription fees. Palsent does not store your full payment details.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. Access to the Service continues until the end of the paid period.
Refund policy
Palsent does not offer general refunds. Refunds are considered if a demonstrable failure of the Service caused incorrect, lost, or corrupted data — in which case a refund may be issued for the month the issue occurred. If a qualifying data issue occurs within the first 5 days of a billing month, a refund for that month may also be considered. All refund requests must be submitted to support@palsent.com with a description of the issue. Refund decisions are at Palsent's discretion and evaluated case by case.
Acceptable use
You agree to use the Service only for lawful purposes. The following are prohibited:
- Data access
- Attempting to access, view, or extract survey data belonging to another Customer or organization.
- Malicious code
- Introducing harmful, malicious, or unauthorized code into the Service — including viruses, exploits, scripts, or any form of cyberattack.
- Harmful surveys
- Creating surveys that are harmful, abusive, discriminatory, harassing, or defamatory toward any individual or group.
- Illegal activity
- Using the Service to engage in any activity that violates applicable law or regulation.
- Reverse engineering
- Attempting to reverse engineer, decompile, or otherwise derive the source code of the Service.
- Security interference
- Circumventing, disabling, or interfering with the security or technical features of the Service.
Customer data and ownership
- Your data
- All survey data, employee directory data, and organizational data you input into Palsent belongs to your organization. You retain full ownership of your Customer Data.
- License to Palsent
- By using the Service, you grant Palsent a limited, non-exclusive license to store, process, and transmit your Customer Data solely as necessary to provide the Service.
- Platform ownership
- Data is stored on Palsent's servers and infrastructure. Palsent controls the platform and systems but does not sell or share your Customer Data with third parties except as described in the Privacy Policy.
- Anonymity guarantee
- Survey responses are stored and processed without personally identifiable information. Individual-level responses are never exposed through the platform. Results are only surfaced when a minimum response threshold is met.
AI-generated content
The Service uses AI models to generate insight summaries, risk narratives, and recommended actions. AI-generated content is informational only and is not a substitute for professional HR, legal, or business advice. Palsent does not warrant the accuracy or completeness of AI-generated content. HR Admins are responsible for reviewing and verifying all AI-generated content before publishing or distributing it.
Service availability
Palsent targets 99.9% uptime but does not guarantee uninterrupted access to the Service. Scheduled or emergency maintenance may temporarily affect availability. Palsent is not liable for losses arising from temporary unavailability.
Account termination
Palsent reserves the right to suspend or terminate your account, with or without notice, if you breach any provision of these Terms, engage in conduct that violates applicable law, or use your account in a way that poses a risk to the Service, other Customers, or third parties. You may terminate your account at any time by contacting support@palsent.com.
Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Palsent does not warrant that the Service will be error-free or that results will be accurate or reliable.
Limitation of liability
To the fullest extent permitted by applicable law, Palsent and JSID Web Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Palsent's total aggregate liability for any claim shall not exceed the total amount paid by you to Palsent in the three months preceding the claim.
Dispute resolution
- Informal resolution
- Before initiating any formal dispute process, both parties agree to attempt informal resolution by contacting support@palsent.com. The parties will make a good-faith effort to resolve the matter within 30 days.
- Arbitration
- If informal resolution is unsuccessful, disputes shall be resolved by binding arbitration in the Province of Ontario, Canada. You waive any right to participate in a class action lawsuit or class-wide arbitration.
- Governing law
- These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada. If legal proceedings are required, both parties consent to the exclusive jurisdiction of the courts of Ontario.
Changes to these terms
We may update these Terms at any time. When we make material changes, we will update the effective date and notify Customers via email or in-app notice. Continued use of the Service after changes constitutes acceptance of the revised Terms.
